These Terms and Conditions (“Terms”) govern your access to and use of the Risqly platform, website, and related services (collectively, the “Service”).By accessing or using Risqly, you
agree to these Terms. If you do not agree, please do not use our Service.

For the purposes of these Terms:
- “Risqly”, “we”, “our”, and “us” refer to Risqly, the operator of the Service.
- “Service” refers to the Risqly platform, website, tools, analytics, integrations, and related features provided by Risqly.
- “User”, “you”, and “your” refer to the individual or organization accessing or using the Service.
- “Account” means the user profile and credentials created to access the Service.
- “Data” means all information uploaded, submitted, or otherwise provided to the Service by Users, including brokerage or client information.
- “Beta Features” means experimental or early-access functionality provided for testing and feedback purposes.

About Risqly
Risqly is an analytics and automation platform designed for insurance brokers and their underwriting teams. We help brokerages gain insights, improve training, reduce quote turnaround times, and lower risk through data-driven reporting and automation tools.
Our infrastructure is hosted on Amazon Web Services (AWS) within the Canadian region, and all data processing occurs in Canada. -
Eligibility
To use Risqly, you must:
- Be at least the age of majority in your jurisdiction.
- Have authority to bind your organization to these Terms (if using on behalf of a company).
- Use the Service in compliance with all applicable laws and regulations.
By registering an account, you represent and warrant that the above conditions are met.

Account Registration and Access
To access certain features, you’ll need to create an account. You agree to:
- Provide accurate and complete information during registration.
- Maintain the confidentiality of your credentials.
- Notify us immediately of any unauthorized access or security breach.
You are responsible for all activity that occurs under your account

Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes.
- Attempt to access, copy, or reverse-engineer source code or underlying systems.
- Upload or share data that violates privacy, copyright, or confidentiality laws.
- Interfere with or disrupt the Service, its infrastructure, or other users.
We reserve the right to suspend or terminate access if we detect misuse or security risks.

Intellectual Property
Risqly and all associated content, features, and technology are the exclusive property of Risqly (or its licensors). All rights, title, and interest in and to the platform — including but not limited to logos, code, text, graphics, and workflows — are protected under applicable copyright and intellectual property laws.
You retain ownership of your data. By using Risqly, you grant us a limited license to process, analyze, and display your data solely to provide the Service. -
Data and Privacy
Your privacy is important to us.
Our data handling practices are described in detail in our Privacy Policy, which forms part of these Terms. By using Risqly, you consent to the collection and use of information as outlined in the Privacy Policy.
All data is hosted and processed in Canada on AWS infrastructure. Some anonymized data may be processed by third-party providers, such as OpenAI, for AI-driven insights — but no personally identifiable information (PII) is ever shared. -
Service Availability
We strive to keep Risqly reliable and accessible. However, we do not guarantee uninterrupted availability or error-free performance. From time to time, we may perform maintenance, upgrades, or updates that temporarily affect access.
We will make reasonable efforts to notify users of planned downtime. -
Disclaimers
The Service is provided on an “as is” and “as available” basis.
Risqly makes no warranties or representations, express or implied, regarding:- The accuracy, completeness, or reliability of outputs generated by the Service.
- Fitness for a particular purpose.
- Continuous or error-free operation.
- Interfere with or disrupt the Service, its infrastructure, or other users.
You acknowledge that results generated through automation or AI are informational only and should not replace professional judgment.

Limitation of Liability
To the fullest extent permitted by law, Risqly and its affiliates, officers, or employees shall not be liable for any:
- Indirect, incidental, consequential, or punitive damages.
- Loss of profits, revenue, data, or goodwill.
Our total aggregate liability under these Terms shall not exceed the amount you paid (if any) for access to the Service in the 12 months preceding the claim.

Termination
You may stop using Risqly at any time.
We may suspend or terminate your account or access if:- You breach these Terms.
- Your use poses a security or operational risk.
- We discontinue the Service.
Upon termination, your access will cease, and data will be deleted or anonymized in accordance with our retention policy.

Modifications
Risqly is designed for use by organizations in Canada and the United States. All core data processing occurs in Canada under Canadian privacy regulations (including PIPEDA compliance principles).

Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario. -
Beta Features and Early Access
From time to time, Risqly may offer beta features, experimental tools, or early-access functionality (“Beta Features”). These are provided for testing and feedback purposes only and may be modified or discontinued at any time.
You understand and agree that:- Beta Features are provided “as is” without any warranty or service-level commitment.
- They may contain bugs, errors, or incomplete functionality.
- Data processed through Beta Features may not be retained after testing concludes.
- Risqly is not liable for any damages, losses, or errors arising from your participation in Beta programs.
We appreciate user feedback on Beta Features — it helps us improve future releases.
